All about the nomination process to serve on the Board of Directors

The following information concerns the nominating process for those wishing to serve on the Board of Directors of the Blue Ridge Association of REALTORS®. This information comes directly from our bylaws. This is also to inform you of important deadlines regarding that process. If you have any questions, please call on me.

A.  Our Annual Meeting of the Membership will be held on Thursday, October 9, 2008, at Millwood Station.  During the meeting, we will also hold our vote to fill seats on our Board of Directors.

B.  There will be 3 slots open on the Board of Directors: president-elect, vice president, and secretary & treasurer.

C.  If you wish to place your name into nomination to be considered, please see the appropriate process below:

 

 

Article XI, Section 4. Election of Officers and Directors.

 

(a) At least two (2) months before the annual election, a Nominating Committee of five REALTOR® Members shall be appointed by the President with the approval of the Board of Directors.

 

The Nominating Committee shall select up to two candidates for each office and up to two candidates for each place to be filled on the Board of Directors.

 

 

 

The report of the Nominating Committee shall be communicated to each Member eligible to vote at least three (3) weeks preceding the election.  That date is September 18, 2008; online voting starts October 2, 2008.

 

 

 

Additional candidates for the offices to be filled may be placed in nomination by petition signed by at least 20% of the REALTOR® Members eligible to vote.

 

The cutoff date to determine 20% of eligible members is September 12, 2008.  All members will be notified of this number on the aforementioned cutoff date.  At that time, all submitted nominations will be checked to ensure that the candidate’s supporters are eligible members of the Blue Ridge Association of REALTORS®. 

 

 

 

The petition shall be filed with the Chief Staff Executive at least two (2) weeks before the election. That date is no later than September 25, 2008.

 

 

 

The Chief Staff Executive shall send notice of such additional nominations to all Members eligible to vote before the election.

 

That date will be September 26, 2008.

 

 

 

(b) The election of Officers and Directors shall take place at the annual meeting at which a quorum is required. That quorum number will be determined on September 12, 2008, and the Annual meeting will be held on October 9, 2008.

 

 

 

(b) The election of Officers and Directors shall take place at the annual meeting at which a quorum is required. Election shall be by ballot. The ballot shall contain the names of all candidates and the offices for which they are nominated. Electronic voting will be made available to members of the Association in good standing and entitled to vote. Votes cast in this manner will count towards a quorum. All ballots must be properly executed and submitted within the specified timeframe in order to be counted. Detailed procedures to secure the handling of ballots shall be in conformity with such additional rules and regulations as the Board of Directors may adopt.

 

 

(c) The President, with the approval of the Board of Directors, shall appoint an Election Committee of two (2) REALTOR® Members to conduct the election. In case of a tie vote, the issue shall be determined by lot.

 

 

 D.  PRESIDENT-ELECT

(1) One-year term.

(2) A member of the Executive Committee.

(3) Responsible to President.

(4) Function is to prepare to assume presidency.

(5) Perform the duties of the President in his/her absence.

(6) Counsel with other officers in seeking to reach objectives.

(7) Serve as ex-officio member of committees as assigned by President.

(8) Represent Association at community functions in absence of President.

(9) Serve as member of Executive Committee.

(10) Qualifications and Requirements:

(a)    Shall have chaired at least one committee and served on the Board of Directors as an officer or director for at least one year.

(b)    Must attend the VAR Leadership Conference.

(c)    Must attend the Professional Standards Road show in the first year of the commencement of term serving on the BOD

VICE-PRESIDENT

(1) One-year term.

(2) A member of the Executive Committee

(3) Responsible to President

(4) Serves as the Chair of RPAC

(5) Function is to give leadership to tasks assigned by the President.

(6) Be prepared to preside at meetings in absence of President and Pres-elect.

(7) Serve as ex-officio member for committees as assigned.

(8) Serve as member of Executive Committee.

(9) Qualifications and Requirements:

(a)    Shall have chaired at least one committee and served on the Board of Directors as officer or director for at least one year.

(b)    Should attend the VAR Leadership Conference.

(c)    Must attend the Professional Standards Road show in the first year of the commencement of term serving on the BOD.

 SECRETARY-TREASURER

(1) One-year term.

(2) A member of the Executive Committee

(3) Responsible to President

(4) Function is to:

(5)            (a) Present the financial statements at the Board of Director’s meeting

                 (b) Help prepare the Association’s annual budget.

          (c) Prepare and present to the BOD, the minutes of the BOD, Executive  Committee, Annual Meeting of the Membership, the Installation of Officers and Directors, and any special meetings called by the BOD and/or the membership.

(6) Serves as Chairperson of the Budget and Finance Committee

(7) Carry out responsibilities as defined by President or Directors.

(8) Qualifications and Requirements:

(a)    Must have served actively on at least one committee.

(b)   Should attend the VAR Leadership Conference

(c)    Must attend the Professional Standards Road show in the first year of the commencement of term serving on the BOD.

 

Article XI - Officers and Directors

Section l. Officers.  The officers of the Association may be a President, a President-Elect, a Vice President, and a Secretary/Treasurer.  The President-Elect, Vice President and Secretary/Treasurer shall be elected for a one-year term.  The President-Elect shall become President at the end of the President-Elect term. In the absence of a President-Elect, the office of President will be filled by general membership election.  The President shall serve as Immediate Past President the year following his/her term as President.

The Immediate Past President shall serve an automatic one-year term on the Board of Directors.   There shall be no more than two (2) officers or directors from any one brokerage company, that are members of the association, nominated to serve the required term for that office.  Unfinished terms or vacancies can be filled by any active member approved and appointed by the Board of Directors.

Section 2. Duties of Officers. The duties of the officers shall be such as their titles, by general usage, would indicate and such as may be assigned to them by the Board of Directors. It shall be the particular duty of the Secretary to keep the records of the Board and the Chief Staff Executive shall carry on all necessary correspondence with the NATIONAL ASSOCIATION OF REALTORS® and the Virginia Association of REALTORS®.

Section 3. Board of Directors. The governing body of the Association shall be a Board of Directors consisting of the current officers, the Immediate Past President and eight REALTOR® Members of the Association. Directors shall be elected to serve for terms of three years.   

      (a) Term Limits. No director shall serve for more than two consecutive three-year terms.

Section 4. Election of Officers and Directors. The candidate-member agrees and acknowledges that the trade secrets, customer information and lists and other business information (the "Confidential Information") is a valuable, special, and unique asset of the Board and are to be held in strictest confidence. Accordingly, the candidate-member shall not, during or after the term of his service on the Board, (i) disclose any of the confidential information to any person, firm, corporation, association or entity for any reason or purpose whatsoever or (ii) use for his/her own benefit any confidential information.

The candidate-member agrees that there is no adequate remedy at law for breach or threatened breach of the provisions of this Paragraph 6, and accordingly in such event, the Board shall be entitled to an injunction restraining the candidate-member from disclosing, in whole or in part, the confidential information or from rendering any services to any persons or entity, to whom such confidential information, in whole or in part, has been disclosed or is threatened to be disclosed. In the event that the services of one or more attorneys are required by the Board, in its discretion, in connection with any action or litigation relating to the enforcement of this Paragraph 6, the candidate- member covenants to pay the reasonable attorneys' fees and costs of those legal services. Nothing containing in Paragraph 6 shall be construed as prohibiting the Board from pursuing any other remedies available to it for such breach or threatened breach, including the recovery of damages from the candidate-member.
